These Affiliate Program Terms ("Affiliate Terms") form a binding agreement between Chevvi Pty Ltd (ABN 54 682 793 602, "Chevvi", "we", "us") and the person or organisation applying to, accepted into, or participating in the Owlish affiliate program ("Affiliate", "you").
By applying to the program, accepting these Affiliate Terms, using an Owlish referral link, or accessing the partner dashboard for Owlish, you agree to these Affiliate Terms. If you apply on behalf of an organisation, you represent that you have authority to bind that organisation.
Key terms summary
- The default offer is 20% of Net Revenue for 12 months for each Qualified Subscription, unless your partner dashboard or written agreement says otherwise.
- Self-referrals, referrals by your own company, and referrals by immediate household members are not allowed.
- Each person or business may maintain only one affiliate account unless Chevvi approves otherwise.
- Coupon, bargain, deal, cashback, rebate, browser-extension, and paid-signup incentive sites are not allowed unless Chevvi approves them in writing.
- Paid ads using Owlish or Chevvi branded terms, and direct-to-Owlish paid ads through your Affiliate Link, require written approval.
- Affiliate-only websites, landing pages, directories, or communities primarily created to promote Owlish require prior written approval.
- You must clearly disclose that you may earn a commission and keep any pricing, feature, discount, security, compliance, or availability claims accurate and current.
- Commissions are paid only through the approved payout platform after required payout-provider and tax steps are complete.
1. Relationship with other terms
- These Affiliate Terms govern your relationship with Chevvi for the Owlish affiliate program.
- Your use of Dub, Stripe, PayPal, or any other partner dashboard or payout provider may be governed by that provider's own terms. Those terms are between you and the provider.
- If you become an Owlish customer, the Owlish Terms of Service, Privacy Policy, Cookie Policy, and any applicable order terms also apply to your customer account.
- If there is a conflict between these Affiliate Terms and the Owlish Terms of Service for affiliate-program matters, these Affiliate Terms apply to the affiliate-program matter.
2. Definitions
- Affiliate Link means a tracking link, referral code, coupon, or other attribution method issued to you for the Program.
- Commission means the reward we approve for a Qualified Subscription under these Affiliate Terms and the program settings shown in the partner dashboard.
- Net Revenue means subscription fees actually received by Chevvi for an eligible Owlish subscription, excluding taxes, refunds, chargebacks, credits, discounts, and amounts not actually collected.
- Program means the Owlish affiliate program operated by Chevvi through Dub or another partner-management platform.
- Qualified Customer means a new Owlish customer validly attributed to your Affiliate Link who satisfies these Affiliate Terms.
- Qualified Subscription means a paid Owlish subscription by a Qualified Customer that is validly tracked, remains paid after the applicable holding period, and has not been refunded, charged back, cancelled for abuse, or otherwise disqualified.
3. Eligibility and approval
- You must be at least 18 years old and capable of forming a binding contract.
- Acceptance into the Program is at Chevvi's discretion. We may approve, reject, suspend, or remove an applicant or Affiliate at any time where we reasonably consider it appropriate.
- You must provide accurate application, profile, payment, and tax information, and keep it up to date.
- Each individual or business entity may maintain only one affiliate account unless Chevvi approves otherwise. If you need to update account details or transfer account ownership, contact us instead of creating another account.
- You must not apply using false identities, misleading websites, undisclosed agency relationships, or channels you do not control or have permission to use.
4. Commission offer
- The current default Program offer is 20% of Net Revenue per Qualified Subscription for 12 months, unless the partner dashboard or a written agreement with Chevvi states a different offer for you.
- The 12-month commission period begins when the Qualified Customer first starts a paid Owlish subscription that is attributed to you.
- If a Qualified Customer upgrades, downgrades, pauses, cancels, receives a credit, or receives a refund during the commission period, your Commission adjusts to the Net Revenue actually collected for the eligible subscription.
- Commissions are not earned on taxes, refunds, chargebacks, credits, unpaid invoices, discounts, free plans, trials, internal test accounts, professional services, implementation fees, custom reseller arrangements, or any item excluded in the partner dashboard.
- We may offer different commission rates, bonuses, bounty campaigns, partner tiers, or private terms to selected Affiliates. Those private terms apply only if confirmed by Chevvi in writing or shown in your partner dashboard.
5. Attribution and qualified referrals
- Attribution is determined by the tracking system we use for the Program, currently Dub. A sale is not commissionable unless it is validly tracked and associated with your Affiliate Link or another attribution method approved by Chevvi.
- A Qualified Customer must be genuinely new to Owlish. Existing customers, existing leads already in active sales discussion, previous account owners, and customers referred through your own account or organisation are not Qualified Customers unless Chevvi approves the referral in writing.
- Self-referrals, referrals by immediate household members, referrals by entities you control, and attempts to receive Commission on your own Owlish subscription are prohibited.
- If multiple Affiliates claim the same customer, the tracking record and Chevvi's reasonable determination control.
- We may reverse, withhold, or decline Commission for fraud, abuse, spam, misleading promotion, policy breach, duplicate attribution, technical error, refund, chargeback, or any referral that does not satisfy these Affiliate Terms.
6. Payment, payout provider, and tax
- Commissions are processed through the Program's payout provider, currently via Dub and its supported payout providers. You must complete any payment, identity, and tax steps required by the payout provider before receiving payment.
- Payment timing, supported countries, minimum payout thresholds, payment rails, currency conversion, payout fees, and tax-document workflows may depend on Dub, Stripe, PayPal, or another provider. Chevvi is not responsible for delays or deductions caused by a payout provider, bank, payment network, or incomplete partner information.
- Unless the partner dashboard says otherwise, Program reporting and payouts may be denominated in United States dollars.
- Commission payments must be processed through the approved payout platform. We do not make direct Commission payments outside the platform unless Chevvi expressly agrees in writing.
- You are responsible for all taxes, duties, bank charges, currency conversion costs, and reporting obligations arising from Commissions paid to you.
- If you are paid in error, you must promptly return the overpayment or permit it to be offset against future Commissions.
7. Promotion rules
You may promote Owlish only in a truthful, lawful, and brand-safe way. You must not:
- make false, misleading, exaggerated, or unsupported claims about Owlish, Chevvi, pricing, discounts, refunds, security, compliance, uptime, AI accuracy, model providers, or customer outcomes;
- fail to keep any Owlish pricing, plan, feature, discount, security, compliance, uptime, model-provider, or availability information you publish accurate and current;
- promise that Owlish will eliminate all support work, guarantee revenue, guarantee deflection, provide legal advice, or make a business compliant with any law;
- represent that you are an employee, agent, legal representative, exclusive partner, reseller, or official spokesperson of Chevvi unless we have separately agreed in writing;
- use Owlish in connection with unlawful, hateful, deceptive, adult, gambling, malware, scraping, surveillance, political persuasion, or otherwise high-risk content without Chevvi's prior written approval;
- send traffic through bots, forced clicks, cookie stuffing, hidden iframes, browser extensions, adware, malware, link farms, fake accounts, or any other artificial or deceptive mechanism;
- operate coupon, bargain, deal, cashback, rebate, browser-extension, or similar incentive sites for Owlish unless Chevvi approves the specific site or campaign in writing;
- offer cashback, rebates, paid signups, fake incentives, or other compensation for signing up through your Affiliate Link unless Chevvi approves the campaign in writing.
8. Required disclosures
- You must clearly and conspicuously disclose your material connection to Owlish wherever you promote Owlish and may earn Commission.
- The disclosure must appear close to the recommendation or Affiliate Link and be understandable to the audience before they click or buy.
- Examples include: "I may earn a commission if you buy through this link" or "Affiliate link: I may receive a commission from Owlish."
- Hashtags or labels that are unclear, hidden, buried in a profile page, placed only after a long list of links, or visible only after a click may not be enough.
- You are responsible for complying with applicable endorsement, influencer, advertising, and consumer-protection laws in every jurisdiction where you promote Owlish.
9. Email, SMS, and direct outreach
- You must not send unsolicited commercial electronic messages, use harvested addresses, buy non-compliant lists, or ask someone for marketing consent by sending them a marketing message.
- Any email, SMS, instant message, or similar commercial message must be sent only where you have the legally required consent, must accurately identify the sender, and must include a functional, easy-to-use unsubscribe method.
- You must honour unsubscribe and opt-out requests promptly and keep records showing when and how you obtained consent.
- You must not make Chevvi or Owlish appear to be the sender of your messages unless Chevvi has expressly authorised the specific campaign in writing.
10. Paid ads, domains, coupons, and search
- You must not bid on, buy, or target "Owlish", "Chevvi", misspellings, confusingly similar terms, or Owlish-branded keywords in search ads without written approval.
- You must not use direct-to-Owlish paid ads, paid search, paid social, retargeting, or programmatic ads that send traffic through your Affiliate Link unless Chevvi approves the campaign in writing.
- You must not register, use, or promote domains, subdomains, social handles, app names, groups, communities, or ad accounts that include Owlish, Chevvi, or confusingly similar marks.
- You must not create websites, landing pages, directories, or communities whose primary purpose is to promote Owlish without prior written approval from Chevvi.
- You must not publish fake coupons, expired offers, private offers, discount codes, or deal pages that imply a discount exists when it does not.
- You must not intercept, overwrite, or compete with Chevvi's own paid advertising, direct traffic, or customer checkout flow.
11. Brand assets and content
- Subject to these Affiliate Terms, Chevvi grants you a limited, non-exclusive, non-transferable, revocable licence to use approved Owlish names, logos, screenshots, and marketing materials solely to promote Owlish in the Program.
- You must follow any brand guidelines, asset restrictions, and instructions we provide.
- You must not alter the Owlish logo, imply endorsement beyond the Program, use Owlish branding as your own identity, or use our marks in a way that could confuse customers.
- Chevvi may require you to edit or remove any content, claim, ad, page, message, or placement that we reasonably consider inaccurate, unlawful, harmful, or inconsistent with these Affiliate Terms.
12. Customer relationship and data
- Customers referred through the Program are Chevvi customers, not your customers, unless Chevvi has separately signed a reseller, agency, or services agreement with you.
- You and Chevvi are independent contractors. These Affiliate Terms do not create an employment, agency, partnership, joint venture, franchise, fiduciary, or legal-representative relationship.
- You must not collect, process, or store personal information on Chevvi's behalf unless we have expressly authorised you to do so in writing.
- You are responsible for your own website, email list, social channels, analytics tools, privacy notices, cookies, and data-handling obligations.
- You must not ask prospects for passwords, payment details, secret keys, workspace exports, customer conversation data, or other sensitive information on Chevvi's behalf.
13. Monitoring, enforcement, and termination
- We may review your websites, channels, messages, ads, and referral activity to assess compliance with these Affiliate Terms.
- We may request records reasonably needed to verify a referral, disclosure, consent, promotion method, or Commission claim.
- Either party may end your participation in the Program at any time by written notice.
- If you breach these Affiliate Terms, we may suspend or terminate your participation, revoke Affiliate Links, reverse or withhold unpaid Commissions, remove you from the Program, and seek any other remedy available at law.
- Termination does not affect sections that by their nature should survive, including payment adjustments, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
14. Confidentiality
If Chevvi gives you non-public information about Owlish, customers, roadmap, pricing, campaigns, conversion data, or Program performance, you must keep it confidential and use it only for participating in the Program, unless Chevvi gives written permission or the information becomes public without your breach.
15. Changes to the Program
- We may change the Program, commission structure, eligibility criteria, attribution rules, payout timing, supported channels, brand rules, or these Affiliate Terms at any time.
- For material changes, we will post the updated terms with a new "last updated" date, update the partner dashboard, or notify you by email where practical.
- Your continued participation in the Program after a change takes effect means you accept the updated terms. If you do not agree, you must stop participating in the Program.
16. Disclaimers and limitation of liability
- The Program, partner dashboard, Affiliate Links, tracking, and payout workflows are provided on an "as is" and "as available" basis.
- We do not guarantee uninterrupted tracking, a particular conversion rate, any specific earnings, or that every referral will be commissionable.
- To the maximum extent permitted by law, Chevvi is not liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity arising from the Program.
- To the maximum extent permitted by law, Chevvi's total liability arising out of or relating to the Program is capped at the greater of (i) unpaid Commissions validly earned by you in the 6 months before the event giving rise to liability, or (ii) AU $100.
- Nothing in these Affiliate Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Competition and Consumer Act 2010 (Cth) or any equivalent law where such law applies.
17. Indemnification
You will defend, indemnify, and hold harmless Chevvi and its officers, directors, employees, contractors, and affiliates from and against any third-party claim, loss, liability, penalty, damage, cost, or expense arising from your promotional activity, breach of these Affiliate Terms, breach of applicable law, misleading claim, spam or privacy violation, or infringement of third-party rights.
18. Governing law and dispute resolution
- These Affiliate Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws rules.
- The parties submit to the exclusive jurisdiction of the courts of New South Wales, except that either party may seek injunctive relief in any court of competent jurisdiction.
- Before bringing a claim, the parties will attempt in good faith to resolve any dispute by negotiation for at least 30 days.
